GETGREENLINE ULC – API Agreement

This API LICENSE AGREEMENT (the “Agreement”) is made, as of ________________(the “Effective Date”), by and between GetGreenline ULC,  an Alberta unlimited liability company, located at 425 Carrall St #570, Vancouver, BC V6B 6E3 (“Blaze Canada”) and _________________________________________, a __________________________ located at ________________________________________________, dba _________________________________ (the “Company”).  Blaze Canada and the Company are sometimes referred to herein individually as a “party” and collectively as “parties.”

Thank you for using Blaze Canada’s application platform interfaces, other developer services, and associated software (collectively, “API(s)”). By accessing or using our API’s, you are agreeing to the terms below, the general Privacy Policy located at getgreenline.co/privacy-policy/ (the “Privacy Policy”), and any additional terms applicable to a given API. If there is a conflict between these terms and any additional terms applicable to a given API, the following order of precedence will apply in descending order of priority: (1) the additional terms; and (2) these terms. Collectively, we refer to the terms below, the Privacy Policy, any additional terms (which may include without limitation terms within the accompanying API documentation, and any applicable policies and guidelines) as the "Terms". You agree to comply with the Terms and that the Terms control your relationship with us. So please read all the Terms carefully.

Under the Terms, "Blaze Canada" means GETGREENLINE ULC unless set forth otherwise in additional terms applicable for a given API. We may refer to Blaze Canada as "we", "our", or "us" in the Terms.

  1. Account and Registration

You may not use ("use" means to use, host, store, modify, communicate, and publish) the API’s and may not accept the Terms if (a) you are not of legal age to form a binding contract with Blaze Canada, or (b) you are a person barred from using or receiving the API’s under the applicable laws of the Canada or other countries including the country in which you are resident or from which you use the API’s. Blaze Canada reserves the right to amend these terms and conditions of this Agreement (“Terms”) upon reasonable written notice. Upon receipt of such notice, except as otherwise set forth herein, continued use of the Blaze Canada API’s shall be deemed consent to the amended terms and conditions.

  3. If you are using the API’s on behalf of an entity, you represent and warrant that you have authority to bind that entity to the Terms and by accepting the Terms, you are doing so on behalf of that entity (and all references to "you" in the Terms refer to that entity).

  4. In order to access certain API’s you may be required to provide certain information (such as identification or contact details) as part of the registration process for the API’s, or as part of your continued use of the API’s. You agree any registration information you give to Blaze Canada will always be accurate and up to date and you'll inform us promptly of any updates.

  5. Blaze Canada has subsidiaries and affiliated legal entities around the world. These companies may provide the API’s to you on behalf of Blaze Canada and the Terms will also govern your relationship with these companies.

  6. License Grant and Limitations

Subject to the terms and conditions of this Agreement, Blaze Canada hereby grants the Company a limited, non-exclusive, non-transferable, non-sublicensable, revocable right and license during the Term to (i) access the API’s through an online account in order to test the Interface, (ii) reproduce and make calls to the API’s to develop, implement and distribute Interface(s) that interact with the Software, (iii) display the Blaze Canada Marks only to identify that the API originated from the Software, and (iv) market and promote the Interface to the Blaze Canada Products and use the Blaze Canada Marks for such marketing purposes in a manner mutually agreeable to the parties. Excluding Fees, Blaze reserves the right to amend these terms and conditions upon reasonable notice to the Company. You agree your continued use of your API access after receipt of the notice will be considered acceptance of the amended terms and conditions.

  8. You will require your end users to comply with (and not knowingly enable them to violate) applicable law, regulation, and the Terms.

  9. You will comply with all applicable law, regulation, and third-party rights (including without limitation laws regarding the import or export of data or software, privacy, and local laws). You will not use the API’s to encourage or promote illegal activity or violation of third-party rights. You will not violate any other terms of service with Blaze Canada (or its affiliates).

  10. You will only access (or attempt to access) an API by the means described in the documentation of that API. If Blaze Canada assigns you developer credentials (e.g. client IDs), you must use them with the applicable API’s. You will not misrepresent or mask either your identity or your API Client's identity when using the API’s or developer accounts.

Permitted Access.
  1. Blaze Canada may set, restrict and enforce limits on your access to, and use of, the API’s (e.g. limiting the number of API requests that you may make or the number of users you may serve), in our sole discretion. You agree to, and will not attempt to circumvent, such limitations documented with each API. If you would like to use any API beyond these limits, you must obtain Blaze Canada’s express consent (and Blaze Canada may decline such request or condition acceptance on your agreement to additional terms and/or charges for that use). To seek such approval, contact the Blaze Canada team. You agree to the API usage fee structure set forth in Exhibit A. Prior to issuance of the Company API credentials, Company shall identify a specific IP address(es) from which Company will make API calls. The Company shall inform Blaze Canada of any changes to the IP Address(es). Any calls from another unidentified IP Adress will be disallowed and the Company API access may be disabled.
API Access and Use Limitations.
  1. Some of the software required by or included in our API’s may be offered under an open source license. Open source software licenses constitute separate written agreements. For certain API’s, open source software is listed in the documentation. To the limited extent the open source software license expressly supersedes the Terms, the open source license instead sets forth your agreement with Blaze Canada for the applicable open source software.
